Tube Academy Terms of Service (also referred to as "Tube Academy Max")

Welcome to Tube Academy Max! These Terms of Service (the "Agreement") govern your use of our programs, coaching services, and online content.

By purchasing, accessing, or using any of our services, you acknowledge that you have read, understood, and agree to be legally bound by these terms.

If you do not agree with these terms, you must immediately cease use of our services.

These Terms contain legally binding obligations that may affect your rights, including waivers of certain rights to claims, limitations of liability, and indemnification requirements.

1. Services Provided

Tube Academy Max provides coaching and educational services for building and scaling YouTube channels, including but not limited to content strategy, channel monetization, automation, and outsourcing frameworks.

By enrolling in our programs, you agree to actively participate by completing your coursework, attending any scheduled calls, and implementing the strategies provided.

2. Client Responsibilities

You are responsible for taking action on the curriculum, completing all assignments, and applying the systems outlined in the program.

Failure to engage with the material or implement the program does not entitle you to a refund, rescheduling, or credit.

Non-responsiveness or lack of participation will not constitute grounds for any refund, dispute, or extension.

3. Payment and Fees

All payments are due as outlined during your checkout process, including any setup fees, course enrollment fees, and any future coaching upgrades.

Payments must be made via ACH, wire transfer, credit/debit card, or another mutually agreed-upon method within three (3) business days of invoice receipt if applicable.

Failure to make payments may result in termination of service and legal action to collect any outstanding balances.

4. No Chargebacks or Payment Disputes

All payments made to Tube Academy Max are final, non-disputable, and non-refundable.

By purchasing a program, you expressly waive the right to dispute, chargeback, or reverse any payment through your bank, credit card company, PayPal, Stripe, or any other financial institution.

Any attempt to file a chargeback or dispute a payment will result in an immediate breach of contract.

In addition to legal action, you agree to pay an immediate liquidated damages fee of $10,000 per chargeback or dispute, plus recovery of the disputed amount, legal fees, and collection costs.

All sales are final. Refunds will not be provided for digital products, services, or coaching programs.

5. Intellectual Property

All intellectual property created by Tube Academy Max remains the exclusive property of Tube Academy Max unless otherwise agreed upon in writing.

You retain ownership of your YouTube channel(s), brand assets, and any deliverables you create independently.

Unauthorized use, reproduction, or sharing of Tube Academy Max proprietary materials—including but not limited to Standard Operating Procedures (SOPs), training videos, content templates, scripts, automation frameworks, or coaching recordings—is strictly prohibited and will be prosecuted to the fullest extent of the law.

Tube Academy Max reserves the right to seek liquidated damages of $1,000,000 USD or an amount determined based on actual financial harm.

6. Confidentiality

Tube Academy Max will maintain the confidentiality of sensitive information provided by you, including passwords, channel access, and financial data.

By enrolling, you grant Tube Academy Max the unrestricted right to use your name, channel name, brand logo, testimonials, case studies, screenshots, revenue results, success stories, or written/video feedback in marketing, promotional materials, case studies, or sales presentations.

No additional consent will be required for such usage.

You waive any right to compensation for the use of this information and cannot later request its removal once published.

7. Indemnification

You agree to indemnify and hold harmless Tube Academy Max from any claims, damages, or liabilities arising from your use of the services.

You acknowledge that results may vary and no specific financial outcomes are guaranteed.

8. Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of Ontario.

You agree to resolve all disputes exclusively through binding arbitration located in Ontario unless the claim involves intellectual property theft, in which case we reserve the right to pursue action in court.

You waive any right to participate in a class-action lawsuit or class-wide arbitration against Tube Academy Max.

The prevailing party in any dispute shall be entitled to full recovery of legal fees, court costs, and arbitration costs.

9. Defamation & False Claims

You agree not to make false, misleading, defamatory, or disparaging statements about Tube Academy Max, its services, or its representatives across:

Social media platforms

Online reviews

Public forums, blogs, podcasts, or other media channels

If any defamatory statements are made, Tube Academy Max reserves the right to:

Immediately terminate your access to any programs, courses, or services without refund

Pursue legal action for damages, including:

Liquidated damages of at least $1,000,000 CAD

Punitive damages

Full recovery of attorney fees and court costs

Injunctive relief to remove defamatory material

10. Amendments & Termination

Tube Academy Max reserves the right to update these Terms of Service at any time. Continued use of our services constitutes acceptance of any updates.

Either party may terminate this Agreement with seven (7) days’ written notice, but any outstanding balances must be fulfilled as agreed.
